Are Electronic Signatures Legal in Pakistan?

In short

Yes. Under the Electronic Transactions Ordinance, 2002 (ETO), “the requirement under any law for affixation of signatures shall be deemed satisfied where electronic signatures or advanced electronic signature are applied” (section 7). A document cannot be denied legal recognition just because it is electronic and has not been attested by a witness (section 3). The ETO does not apply to some documents, including wills, powers of attorney and contracts for the sale of immovable property (section 31).

What the law says

  • Electronic signature. Defined as “any letters, numbers, symbols, images, characters or any combination thereof in electronic form, applied to, incorporated in or associated with an electronic document, with the intention of authenticating or approving the same, in order to establish authenticity or integrity, or both” (section 2(1)(n)).
  • Advanced electronic signature. An electronic signature that is either (i) unique to the signer, capable of identifying them, created under their sole control and attached so that any later change is detectable, or (ii) provided by an accredited certification service provider and accredited by the Certification Council (section 2(1)(d)).
  • Legal recognition. No document, record, information, communication or transaction “shall be denied legal recognition, admissibility, effect, validity, proof or enforceability on the ground that it is in electronic form and has not been attested by any witness” (section 3).
  • Writing. A legal requirement for writing is met by an electronic form that is “accessible so as to be usable for subsequent reference” (section 4).
  • Originals and retention. Electronic records can meet original-form and retention rules if their integrity is reliably assured, they stay accessible, and origin, destination and timing details are kept (sections 5 and 6).
  • Proof. An electronic signature “may be proved in any manner” to show that the document belongs to the person who executed it (section 8).
  • Presumption. For an advanced electronic signature, a court presumes, unless shown otherwise, that it is the signature of the person it correlates to, applied with intent to sign, and that the document has not changed since (section 9).

The Certification Council is the Electronic Certification Accreditation Council established under section 18.

Documents the ETO excludes

Section 31(1) says nothing in the Ordinance applies to:

  • A negotiable instrument under section 13 of the Negotiable Instruments Act, 1881.
  • A power of attorney under the Powers of Attorney Act.
  • A trust as defined in the Trust Act 1882, except constructive, implied and resulting trusts.
  • A will or any form of testamentary disposition.
  • A contract for sale or conveyance of immovable property, or any interest in such property.

The Federal Government, after consulting the provinces, may extend the Ordinance to these instruments by notification in the official Gazette (section 31(2)).

Practical checklist

  • Check the section 31 list first.
  • Decide whether you need an advanced electronic signature, for example to rely on the section 9 presumption.
  • Make the signer’s intent to authenticate or approve clear in the signing step.
  • Use signer checks that fit the risk.
  • Keep each record accessible, unaltered and with its origin, destination and date and time details (section 6).
  • Check any sector rules that apply to your industry.

How vScrawl fits

vScrawl is a product of DictaLabs LLC, which lists contact addresses in the USA and in Lahore, Pakistan.

  • Audit trail. vScrawl records who viewed and signed, when and from where. Each signed document includes a certificate of completion with timestamps, IP addresses and email verifications. This helps you keep the details that section 6 describes.
  • Signer authentication. Turn on two-factor authentication (a one-time code) or passkeys for each document.
  • Integrity. Tamper-evident seals help show if a document changed after signing.
  • Templates. Reuse approved forms with templates.

Whether a vScrawl workflow meets every part of the advanced electronic signature definition depends on its full configuration. vScrawl does not claim to be an accredited certification service provider under the ETO, and it does not give legal advice.

FAQ

Does an electronic document need a witness in Pakistan?

Section 3 says a document cannot be denied legal recognition on the ground that it is electronic and has not been attested by a witness.

Can I sign a property sale agreement electronically?

Not under the ETO, unless a federal notification extends it. Section 31 excludes contracts for the sale or conveyance of immovable property.

What makes an electronic signature "advanced"?

It meets the test in section 2(1)(d). Advanced signatures benefit from the presumption in section 9.
